A S T R O N O M Y        A S S O C I A T I O N        C O N S T I T U T I O N  

I -  Purpose
  
To Facilitate Cooperation and Support for Member Organizations for the Advancement of Astronomy,
    Science, Education, and The Public Good.

II -  Members, Membership, Quorum, Liability
  1)
  MEMBERS shall be represented by Member President or Designee.
        Any Organization may become a Member by:  1) Request    2) Adopting this Constitution
       3) Majority Vote of Members.
  2)  QUORUM is 50%.  All Actions require a Quorum.
  3)  LIABILITY may be incurred by the President or Member Majority.
       No Unilateral Assessment may be made against a MEMBER.
  4)  MEMBERSHIP may not be denied for Residence, Location, Race, Handicap, Religion, Age, Sex, Income,
       Sexual Orientation, Nationality, Political Affiliation, National Origin, or any Illegal Reason.

III -  Officers, Elections, Terms, Committees, Appointees, Authority, Removal
  1)
  OFFICERS - President, Vice-President, Secretary, Treasurer - shall be Elected by Majority Vote at
        Annual Meeting, and perform Duties associated with that Office.
  2)  TERM of OFFICE is the following Calendar Year.
  3)  President may Appoint COMMITTEES and APPOINTEES.
  4)  Officers may, unanimously, override Action of the President.
        Members
may, by majority, override Action of President or Officers.
  5)  Officer or Appointee may be Removed by a two-thirds Vote of Members.

IV -  Annual Meeting, Meetings, Amendments, Dissolution
  1)
  ANNUAL MEETING - at Time and Place, Determined by the President, with one Month Notice.
  2)  MEETINGS - Time and Place, Determined by President, with Two Weeks Notice.
        Only Action cited in Notice may be Transacted.
  3)  This Constitution may be AMENDED by two-thirds Member Vote at Annual Meeting.
  4)  Upon DISSOLUTION, Assets shall be returned to Member Organizations.
